1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you (the "Merchant," "you," or "your") and NOMADSARC ("we," "our," or "us") governing your access to and use of our Shopify applications, including Slice 'n Save and Dynamic Checkout Customizer (each an "App," collectively the "Apps"). By installing, accessing, or using any App, you agree to be bound by these Terms.
2. Eligibility
You must have an active Shopify store and the legal authority to bind that store's business to these Terms in order to install or use any App. Our Apps are intended for business use by Shopify merchants and their authorized staff.
3. License to Use the Apps
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Apps solely in connection with your own Shopify store, for the duration of your active subscription.
You may not copy, modify, reverse-engineer, resell, sublicense, or create derivative works based on the Apps, except to the extent expressly permitted by applicable law.
4. Subscriptions & Billing
Some Apps or features are offered on a paid subscription basis, billed through Shopify's billing system on a recurring monthly or annual cycle as selected at checkout. Fees are non-refundable except where required by law or expressly stated otherwise. We reserve the right to change pricing with reasonable advance notice; continued use of the App after a price change takes effect constitutes acceptance of the new pricing.
5. Free Trials
Where offered, free trial periods allow you to evaluate an App's paid features for a limited time. Unless cancelled before the trial ends, your subscription will automatically convert to a paid plan and billing will begin in accordance with Shopify's billing cycle.
6. Merchant Responsibilities
- You are responsible for configuring discount rules, checkout customizations, and shipping logic accurately, and for testing changes before publishing them live.
- You are responsible for maintaining the confidentiality of your Shopify admin credentials and staff access.
- You are responsible for ensuring your use of the Apps complies with applicable consumer protection, advertising, and pricing laws in your jurisdiction.
- You are responsible for communicating relevant terms (e.g. discount conditions) clearly to your own customers.
7. Acceptable Use
You agree not to use the Apps to:
- Engage in fraudulent, deceptive, or misleading discounting or pricing practices.
- Violate any applicable law, regulation, or third-party right, including Shopify's own Acceptable Use Policy.
- Attempt to gain unauthorized access to our systems, other merchants' data, or the underlying App infrastructure.
- Interfere with or disrupt the integrity or performance of the Apps or Shopify's platform.
8. Intellectual Property
All rights, title, and interest in and to the Apps, including their underlying software, design, branding, and documentation, remain the exclusive property of NOMADSARC. These Terms do not grant you any ownership rights in the Apps.
9. Third-Party Services & Shopify
Our Apps are built to operate within the Shopify platform and rely on Shopify's APIs, infrastructure, and billing systems. Your use of Shopify itself remains governed by Shopify's own Terms of Service, and we are not responsible for outages, changes, or limitations imposed by Shopify or other third-party services our Apps may integrate with.
10. Availability & Modifications
We aim to keep our Apps available and performant, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any feature or App, in whole or in part, at any time, with or without notice, for maintenance, security, or business reasons.
11. Disclaimer of Warranties
THE APPS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPS WILL BE ERROR-FREE, SECURE, OR THAT ANY GIVEN DISCOUNT OR CHECKOUT CONFIGURATION WILL PRODUCE A SPECIFIC BUSINESS OUTCOME.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOMADSARC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APPS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE APPLICABLE APP IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
13. Termination
You may uninstall any App at any time directly from your Shopify admin. We may suspend or terminate your access to an App if you breach these Terms, engage in fraudulent or abusive behavior, or if required to do so by Shopify or applicable law. Upon termination, your right to use the App ceases immediately, though certain provisions of these Terms (including Sections 8, 11, 12, and 14) will survive termination.
14. Governing Law
These Terms are governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction where NOMADSARC is legally established, unless otherwise required by local consumer protection law.
15. Changes to These Terms
We may revise these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of an App after changes take effect constitutes your acceptance of the revised Terms.
